Matthew advises leading Australian and international financial services clients on transactional and regulatory matters.

Clients look to Matthew to assist them to establish, offer and operate retail and wholesale investment funds. He advises on Australian financial services licensing, fund governance, offer documents and fund restructures, including managed investment schemes and other collective investment vehicles (CIVs).

He also advises on outsourcing arrangements, compliance issues and on ongoing regulatory developments in the financial services sector.

Matthew is experienced in the full range of asset classes and has particular experience in the property funds sector, including fund establishment, capital raising and restructures.

He is also experienced in a wide range of transactions in the financial services sector, joint ventures and funds M&A.

Prodigy Investment Partners Limited

We advised Prodigy Investment Partners Limited, a joint venture between Euroz Limited and Mr Steve Tucker, on the establishment of its first boutique funds management business, Flinders Investment Partners, a specialist Australian small and emerging companies investment manager. HDY advised on structuring and the documentation to establish the boutique and on the establishment of the Flinders Emerging Companies Fund.

Henderson Global Investors (Australia)

Acted for Henderson in the change of responsible entity of 11 registered schemes from IOOF to Henderson as part of its acquisition of fund managers, Perennial Fixed Interest Partners Pty Ltd and Perennial Growth Management Pty Ltd which have combined assets under management of over $10bn.  This included advising on the transition of responsible entity and integration of the funds onto Henderson's Australian platform, including the change of key service providers to the funds.

Global Fund Manager

Advised a global fund manager on its appointment to manage a $680 million mandate by a Sovereign Wealth Fund.  We advised on structuring, documentation and assisted with negotiations.

Centuria Property Funds Limited

Advising Centuria Property Funds Limited (as responsible entity of the Centuria Metropolitan REIT No. 1 and Centuria Metropolitan REIT No. 2 (together CMA)) on the offer of stapled securities in CMA and listing on ASX and underwriting arrangements. The offer consisted of an institutional offer, broker firm offer and a priority offer and raised approximately $114.3 m.

Centuria Property Funds Limited

Advised Centuria Property Funds Limited (as responsible entity of Centuria Metropolitan REIT No.1 and Centuria Metropolitan REIT No.2 (together, CMA)) on an underwritten accelerated non-renounceable entitlement offer to raise approximately $100m.
