Breanna specialises in corporate transactions, providing due diligence, advisory work and the drafting and negotiation of commercial agreements to clients across the private and government sector. Breanna has a specific interest in a whole of business approach to legal advice and relationships between stakeholders. She has advised clients on corporate governance and a broad suite of commercial documents and transactions, and has handled complex negotiations across a range of sectors.

She has significant recent experience in business acquisitions and disposals and has been involved in the restructure or sale of various businesses.

Her experience also includes preparing and advising on a variety of consultancy agreements, supply agreements, sponsorship agreements, licensing agreements and agency agreements for a number of clients, including listed and unlisted entities and government agencies.

Breanna also provides company secretarial support to both public and private companies and has significant experience in shareholders agreements and other internal governance documents. Breanna has advised boards on issues relating to director's duties.

Sydney Ultrasound for Women (SUFW)

Acted for SUFW on its acquisition by Monash IVF Group (ASX:MVF) for a total consideration of $30.1 million. This included advising in relation to the terms of the transaction, prepared the transaction documents and guided the vendors through the lengthy negotiation, due diligence and sale process. Also advised on property, leasing, tax and employment issues.

Sonic Clinical Services (SCS)

Acted for SCS with its due diligence enquiries, drafted and negotiated a complex shareholders agreement and subscription documents and also advised SCS in respect of legal issues in the key investment sectors of health services and technology.

Once Credit

Acted for the seller in the successful sale of Once Credit Pty Limited to ASX listed FlexiGroup Limited (FXL) for $45m. Once Credit provides consumer finance through third party retail distribution channels.

Global Aviation Asset Management (GAAM)

Lead legal adviser for GAAM in connection with the US$1.4bn cross-border sale of its international aviation leasing business to US listed entity Fly Leasing.  The GAAM portfolio consisted of 49 aircraft, which were on lease to 23 airlines in 15 countries and the transaction was completed with all of the group's global financial facilities remaining in place.
