Naomi has experience in a range of capital market transactions including private placements, rights issues, capital restructures, capital reductions, buy-backs and employee share schemes. She also has experience in public and private M&A.

Naomi's recent experience includes:

  • advising the mezzanine syndicate of 15 hedge funds and special situation institutional clients on their equity entitlements under a restructure of their exposures to the medical imaging group, I-Med;
  • advising hedge funds, Orange Capital, Luxor Capital and Point Lobos, on their bid to replace the RE of the ASX listed Charter Hall Office REIT;
  • advising a syndicate of 7 banks on the sale of the secured assets of the AET&D group which held significant interests in major gas and electricity infrastructure assets around Australia;
  • acting for Century Funds Management on its bid to replace the RE of the Opus Income & Capital Fund 21;
  • advising Morgan Stanley Special Situations Fund on its off-market bid to acquire units in the Pacific First Mortgage Fund;
  • advising MMC Contrarian on its A$195 million acquisition of the MBF Life and the Clearview Retirement Solutions businesses from Bupa Australia;
  • advising an ASX- listed mining company on the re-quotation of its shares on the ASX;
  • advising Jupiter Mines on a $150 million private placement; and
  • advising the financiers to an ASX listed mining company on the corporate issues arising from a convertible loan facility.

Naomi also has experience in funds management, including advising on the establishment, structuring and offering of managed investment schemes and compliance with financial services laws and ASIC policy.

Naomi has completed secondments at BT Financial Group and David Jones.
