James is a transactional lawyer specialising in public M&A, equity capital markets and funds management transactions. His work typically involves addressing regulatory and compliance issues relating to the Corporations Act and Listing Rules.

James' experience includes work relating to takeovers, off-market bids, schemes, capital reductions, buy-backs and flip ups and in preparing and negotiating offer, disclosure and shareholder meeting documentation and joint venture pre-bid exclusivity, no-shop/no-talk and implementation agreements.

James has been involved in a range of capital market transactions; advising on IPOs, placements, rights issues and option and share schemes (including executive option/share schemes).

He regularly advises clients on regulatory issues liaising with, and making submissions and applications to ASX and ASIC, as well as responding to regulators' notices and specific investigations. He also has experience in making submissions to, and being involved in proceedings before, the Takeovers Panel.

James has a depth of experience in funds management, including advising on the establishment, structuring and offering of managed investment schemes and undertaking due diligence enquiries. James recently successfully represented Powerlan in Takeovers Panel proceedings, prepared the legal documentation for an $A500 million infrastructure fund and for a $A100 million buyback of securities by a listed investment company, and has been involved in a number of high-profile restructurings including Babcock & Brown entities and Timbercorp.
