Claire Machin

Special Counsel

Claire specialises in insurance law, and has acted for life, general and private health insurers and intermediaries across a wide range of corporate, advisory and regulatory matters.

She has advised clients on the establishment and conduct of insurance businesses to meet the prudential requirements of the Australian Prudential Regulation Authority (APRA) and the financial services regulation requirements of the Australian Securities and Investments Commission (ASIC).

Claire advises insurers on mergers and acquisitions and business restructuring. She has acted on a number of significant and complex portfolio and business transfers implemented under the Insurance Act 1973. Two of these have involved coordinating concurrent portfolio transfers in foreign jurisdictions. Claire has helped clients structure and document product distribution and agency arrangements. She has experience in the drafted and negotiation of reinsurance treaties, novations commutations, collateral and custodial arrangements.

She has drafted policies for product and public liability, travel, accident and health and life covers and has advised clients on compliance issues for the marketing and selling of insurance products in Australia.

Claire has advised corporate clients in the financial, industrial and mining sectors on a broad range of coverage issues under their corporate insurance programs, including the scope of directors' and officers' insurance cover. Claire has provided specialist insurance advice on the impact of mergers and acquisitions on corporate group covers, managed insurance due diligence and has advised on the scope of and negotiated warranty and indemnity insurance cover.

Claire has a keen interest in the emergence and development of alternative structured insurance products such as insurance linked securities or notes, catastrophe bonds and the use of derivatives as a means of hedging risks traditionally covered by insurance.

She has advised clients on the licensing and regulatory requirements for conducting their businesses in Australia and has assisted them to obtain relevant financial services licensing exemptions.

In 2010, Claire co-taught a Masters course on Corporate Governance at the University of New South Wales.
