Ben advises Australian and overseas-based clients, largely in the private equity sphere, on mergers and acquisitions, joint ventures, capital raisings, corporate restructurings and service and supply arrangements.
Ben has recently advised on major mergers and acquisitions, including the sale by the receivers and managers of over 1,000 ABC learning and childcare centres in Australia, the sale by RMB Australia (trading as MotorOne Finance) of a substantial Australian automotive loan portfolio to BMW Australia Finance, the acquisition by Principal Aged Care of the leases and aged care operations of 39 residential aged care homes in Australia.
He has also advised on the acquisition by Wolseley Private Equity of Guardian Childcare, one of the largest operators of private childcare services in Australia, the acquisition by multinational sports media company, ESPN International of a sports media company in Australia, the acquisition by Hanesbrands Inc, listed on the New York Stock Exchange, of its former Australian distributor of the Champion sportswear brand, the investment by Sumitomo in a grain handling, grain marketing and grain pool business, and the sale and acquisition by Sumitomo of fertiliser businesses.
Ben has advised on acquisitions by Hyder Consulting of engineering consulting businesses, and the sale and subsequent outsourcing of IT development services for Steinhoff Asia Pacific (which operates brands including Freedom furniture).
Ben has also acted on the sale of a coal mine in the Hunter Valley, New South Wales and a gold mine in Gympie, Queensland, and the establishment of a joint venture to mine and process silica in Tasmania.
Ben has also advised government agencies on large scale transfers of assets and in respect of complex service and supply arrangements and acted for Illyria, Lachlan Murdoch's private investment company, on investments in Australia and overseas.
