Overview

We assist private and public sector organisations with procurement of complex information technology and communications products and services. We understand that having the right systems and suppliers in place can bring increased productivity and a competitive advantage to commercial organisations and greatly improve the provision of services by public sector agencies.

Our experts also advise suppliers of products and services in the IT, telecommunications and media sectors, through negotiating contracts, setting up new ventures, advising on new product development or dealing with disputes when they arise.

Technology

Technology contracting is about good processes and balancing contractual certainty with flexibility. We recognise that no two projects are the same and therefore tailor our specific skills to help clients to achieve their commercial goals and to manage the risks particular to each project.

Our team has a deep understanding of complex IT projects and experience in working with both suppliers and users of technology, particularly in the financial services and government sectors. Clients also appreciate our understanding of the technology and the value we provide in being up to date with new supply models (such as cloud computing) and delivery platforms.

Procurement and outsourcing

We help clients with complex IT projects and procurement of IT services, including outsourcing and managed services arrangements for the complete life-cycle of a project from advising on the procurement strategy, settling tender documents, tender evaluation, negotiating the contractual arrangements and providing contract management tools.

Public sector

Public sector agencies are subject to specific requirements for the procurement process. We have a detailed understanding of the requirements at a State and Federal level and help public sector agencies to meet those requirements, including in relation to probity. We also advise suppliers to government in preparing tender responses and negotiations based on standard form government contracts.

Product development and commercialisation

We help technology companies and other entities in the development and commercialisation of new technology. We understand the importance of strategic legal engagement in the early stages of the product development lifecycle and the need to utilise a range of protections to protect and exploit new technologies, from patents through to complex contractual arrangements.

Alliances and partnerships

Our extensive expertise involves helping clients structure effective strategic alliances, research and development partnerships and other corporate arrangements, including joint ownership and cross-licensing. We also help IT firms define important business relationships such as distribution rights, value-added reseller arrangements, agency and teaming arrangements and cross-border arrangements (including tax implications).

IT dispute resolution

Contractual disputes and other disagreements can be especially complex in the context of an IT transaction. Litigation is a key strength of the firm. We assist clients to dispose of defensive matters cost-effectively and without damage to their brand and successfully prosecute claims which clients choose to initiate.

Telecommunications and media

Increasingly, the telecommunications, media and on-line sectors have converged around internet-based networks capable of carrying digital voice, data, film, music and other content. Regulations remain complex and the sector is characterised by rapid changes in technology and business models. We bring to this area a thorough understanding of consumer, competition, telecoms infrastructure, broadcasting and on-line content issues.

Access and interconnection

We assist clients with negotiating and enforcing agreements for competitive access to declared services, such as Unconditioned Local Loop and Line Sharing services and access to physical infrastructure.

Networks and facilities

We negotiate commercial access to fibre networks and facilities, including indefeasible rights of use (IRUs) and similar arrangements.

Regulatory

We have considerable experience dealing with regulators in relation to consumer, competition, telecommunications and broadcasting issues and have an in-depth knowledge of, and ability to navigate through, the complex regulatory environment in which telecommunications and media companies operate.

Wholesale

We have considerable experience in negotiating on-line and mobile content arrangements, and in packaging service offerings in a way which is legally compliant while being attractive to potential customers.

Retail

From our industry experience we are mindful that the customer experience must be paramount when preparing services agreements with third party content or service providers, and when structuring and negotiating customer agreements.

Credentials

RailCorp

We have assisted NSW RailCorp with a number of large scale technology projects under the Board-sponsored Business Finance Improvement Program. Recent projects have included:

  • procurement transformation - a project to completely reorganise RailCorp's procurement function. Our work included negotiating and documenting arrangements with the supplier, Accenture, for the provision of a turn-key solution involving substantial business re-engineering supported by a new technology platform
  • ERP support - provision of a market proven and cost effective support model to meet RailCorp's application support requirements across its enterprise resource planning suite of software applications and systems
  • time capture and payroll - building, implementing and transitioning a scalable integrated solution to support the end-to-end Time Capture to Pay (TC2P) process and on-going delivery and maintenance of the agreed TC2P services for a period of 5 years.

Sydney Airport Corporation

We have advised Sydney Airport Corporation in relation to several major technology projects, including an upgrade to its aeronautical ground lighting system and implementation of a traffic forecasting solution.

iiNet

We advised iiNet on a variety of wholesale and retail telecommunications regulatory issues. These included advising on access and use of the unconditioned local loop service, acquired as a wholesale service from Telstra, for the provision of broadband services over the Telstra copper network.

Vodafone

We acted for Vodafone on a range of telecommunications and related regulatory issues including in reviewing and updating documentation to ensure it complies with privacy laws, including the Privacy Act 1988 and Part 13 of the Telecommunications Act 1997.

Panasonic Avionics

We advised Panasonic Avionics on the operation of telecommunications networks and use of mobile phones onboard Qantas aircraft.

Television Sydney

We advised Television Sydney and the University of Western Sydney on the set-up and operation of the Channel 31 community broadcasting television station, including licensing requirements under the Telecommunications Act 1997 and the Broadcasting Services Act 1992.

Global Television

We advised Global Television, the leading provider of outside broadcast services for the Australian television industry, on its agreement to design, install and operate the international broadcast centre (IBC) for the 2010 Commonwealth Games in Delhi, India. This multi-jurisdiction matter included:

  • advising Global Television on the world-wide tender by Doordarshan, the public television broadcaster of India, relating to the supply of outside broadcast services for the 2010 Commonwealth Games
  • advising on the agreement between Global Television, Doordarshan and on-the-ground Indian partner, Shaf Broadcast, for the design, installation and operation of the IBC
  • drafting and negotiating with Shaf Broadcast an International Broadcast Centre Design, Installation and Operation Agreement setting up a joint venture to design, install and operate the IBC
  • advising on issues in respect of its agreements with employees and contractors to provide services for the IBC project.

Commander Communications

We acted for the Receivers of Commander Communications on the break up and sale of the company's IT services and telecommunications businesses. This included advising the Receivers on:

  • the re-negotiation of various major IT services agreements with the Federal Government
  • Commander Communications' existing wholesale telecommunications arrangements with various telecommunications carriers.

MasterCard

We acted for MasterCard on the provision of a payment transaction processing and data centre facility to a new joint venture payments processing company, Strategic Payments Services Pty Limited and for its agreement with Cybertrust for the provision of information security specialist support, audit and consulting services and qualified security assessments in respect of the Payment Card Industry Data Security Standard.

Westpac Banking Corporation

We have advised Westpac Banking Corporation on a range of matters including:

  • agreement for the license and support of secure file transfer software to interface between Westpac Banking Corporation and the Reserve Bank of Australia
  • agreement for the licence and support of software used in the provision of deposit bonds
  • agreement for the development of trading systems for global energy markets
  • procurement of a web-based solution to enable transaction processing services in respect of Westpac Banking Corporation's wealth management products.

Vodafone v Mobileciti

We successfully defended Vodafone in a Supreme Court case in which a former dealer alleged that Vodafone had engaged in misleading and deceptive conduct: Mobileciti Pty Limited v Vodafone Pty Limited [2009].
